CADE Terms of Service
Effective Date: Sep. 2020
Please read these Terms of Service carefully. To make these Terms easier to read, the Site and our services are collectively called the “Services”, and the terms “CADE” “we,” and “us” refer to CADE, Inc. and our affiliates and subsidiaries.

1.Terms of Memberships
a) The term “member” refers to who completed the membership application of CADE official website.
b) By using our Services, you agree to be bound by these Terms.
c) CADE reserves all rights to verify your membership application and also to decline it.
d) If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms. In that case, “you” and “your” will refer to that company or other legal entity.
e) The revision of these terms is applied to all members. It would be announced on CADE official website as revised.

2. Privacy Policy
You may contact us at any time to opt-out of the use of your Personal Information.
a) Personal information collects
As you navigate the Services, certain passive information may also be collected about your visit, including through cookies and similar technologies as described below.
We acquire, hold, use, and Process Personal Information about Individuals for a variety of business purposes, including:
To Provide Products, Services, or Information Requested. CADE may use information about you to fulfill requests for products, Services, or information, including information about potential or future Services, including to:
Generally, manage Individual information and accounts;
Respond to questions, comments, and other requests;
Provide access to certain areas, functionalities, and features of CADE’s Services;
Contact you to answer requests for customer support or technical support;
Allow you to register for events.
Administrative Purposes. CADE may use Personal Information about you for its administrative purposes, including to:
Measure interest in CADE’s Services;
Develop new products and Services;
Ensure internal quality control and safety;
Verify Individual identity;
Carry out audits;
Communicate about Individual accounts and activities on CADE’s Services and systems, and, in CADE’s discretion, changes to any CADE policy;
Send email to the email address you provide to us to verify your account and for informational and operational purposes, such as account management, customer service, or system maintenance;
Process payment for products or services purchased;
Process applications and transactions;
Prevent and prosecute potentially prohibited or illegal activities;
Enforce our agreements; and Comply with your legal obligations.
Marketing CADE Products and Services. CADE may use Personal Information to provide you with materials about offers, products, and Services that may be of interest, including new content or Services via the email address you provide. Such uses include:
To tailor content, advertisements, and offers;
To notify you about offers, products, and services that may be of interest to you;
To provide Services to you;
For other purposes disclosed at the time that Individuals provide Personal Information; or
Otherwise with your consent.
Research and Development. CADE may use Personal Information to create de-identified information that we may use alone or in the aggregate with information obtained from other sources, in order to help us to optimally deliver our existing products and Services or develop new products and Services. From time to time, CADE may perform research (online and offline) via surveys. We may engage Third-Party service providers to conduct such surveys on our behalf. All survey responses are voluntary, and the information collected will be used for research and reporting purposes to help us better serve Individuals.
b) The use of personal information
The Personal Information we collect are only used for which is relevant for the purposes of Processing. It may directly collect from you or from Third-Party sources and our privacy practices depend on the nature of the relationship you have with CADE and the requirements of applicable law. Some of the ways that CADE may collect Personal Information include:
You may provide Personal Information directly to CADE through interacting with the Services, participating in surveys, during events, and requesting Services or information.
We will not offer it to other Third-Party or use it for other purposes unless any inform in advance.
c)Information Security
To protect your privacy and offer good user experience, your account information will be encrypted.
d)Inquiry and Revise
You can revise or correct your personal information at any time, including request to stop sending the relevant information.
e) Changes to Privacy Policy
We may update our privacy policy at any time, in our sole discretion. If we do so, we’ll let you know either by posting the updated terms on the Site or through other communications.
You may contact us by email at any time if there is any doubt of private policy.

3.Membership
a)As accessing to our service, you have to apply your register account and password.
b)Members should be fully responsive for using and managing their own account and password, includes all the behavior and results of using our service.
c)If you lost your account and password or be misappropriated, please inform us to report loss immediately. If not and we cannot prevent and revise them, and causes any loss, you have to be fully responsive for it.
d) Please log out and close window after using our service every time to protect your rights.
e) If anyone misappropriate any other’s account and password that leads to the litigant or CADE be investigated or prosecuted by other third parties or administrative agencies, the litigant and we have the right to request damages from you, including but not limited to Litigation costs, attorney fees and loss of goodwill, etc.

4.Login Information
a) You MUST offer your correct, up-to-date and complete information as log in.
b) DO NOT use forged or false personal information, or we will refuse your membership application, and suspend or terminate your membership. If it violates the relevant laws of Republic of China, you will be investigated.
c)Please update your member information (ex: address, telephone number and other login information) as your personal information changed to ensure that it is correct and complete. If the information you provide is incorrect or inconsistent, we will suspend or terminate your account, and refuse you to continue to use the service.
d) CADE will not disclose members’ personal information to third party, except for the data sharing principle. (Please refer to 2. Privacy Policy)
e) Members should keep their passwords properly, and must not disclose or provide it to others to know or use; all behaviors performed by using the service with the same member ID number and password will be deemed to be the member and the password holder’s behavior.
f) If you find or suspect that the other uses your membership ID number or password, MUST immediately notify us and take necessary precautions. However, this notice shall not be interpreted as CADE's responsibility or obligation to compensate members in any form.

5.Use of Service
a) All the behaviors as you use our service MUST comply with relevant local or international laws and regulations; for all behaviors of users, you MUST bear full responsibility for yourself.
b) You agree that you will never use our service for illegal purposes or in an illegal manner, and that you will indeed comply with the relevant laws and regulations of Republic of China and the international practices of the Internet, and you must not use our service to engage in acts that infringe on the rights of others or violate the law.
c) You should abide by the following restrictions when using our service, DO NOT post or use the following content:
c-1) Intellectual property rights or other rights content, trademark rights, copyrights, etc.
c-2) Texts that violate public order or customs or other illegal content.
c-3) Radical remarks with strong political and religious views.
c-4) Without the permission of CADE, you are not allowed to use our service or other resources provided on CADE website, including but not limited to graphic database, software for compiling web pages, etc., to engage in any commercial transactions, or to solicit advertisers or sponsors.
e) Other content that violates the “Terms of Service” of this site.
6.CADE's exclusive rights
a) All software or content contained in our service, or linked to our service, or content provided by the CADE's advertisers or partners, are protected by their copyrights or other proprietary rights or laws.
b) When you transfer data to the service provided by CADE, you agree that this data can be browse by CADE but not include reproducing, modifying.
c)The ownership and operation rights of the advertising billboards and event messages that appear on all the webpages are owned by CADE. Users are not allowed to use all the information unless they have obtained the prior consent of CADE.
d) As our member, you agree and authorize our website to provide the required member information for the purpose of providing personalized services or related value-added services to the cooperative unit (third party) for use within the agreed scope. If you do not agree, we can be notified to delete the information from the list, and it will waive its right to purchase discounts or awards outside of this website.
e) For marketing, market analysis, statistics or research, providing members’ personalized services or value-added services, you agree that CADE and it’s strategic partners record, save, and use the member’s data and records retained or generated on CADE website, and statistical data may be disclosed or used without disclosing.
f) Regarding the personal information registered by the member, you agree that CADE may collect, process, store, transmit and use such data within a reasonable range to provide users with other information or services, or to create member statistics, or to perform investigation or marketing research on internet behaviour.

6.CADE's exclusive rights
a) All software or content contained in our service, or linked to our service, or content provided by the CADE's advertisers or partners, are protected by their copyrights or other proprietary rights or laws.

7. Termination of authorization
If you violate any laws, these terms of use, and threaten the rights of CADE website or a third party, we have the right to terminate your authorization to use our service immediately or permanently without notifying you.

8. Disclaimer
a) CADE will stop or interrupt the provision of this service when the following circumstances occur,:
a-1) When the software and hardware equipment related to our service is replaced, upgraded, maintained or constructed.
a-2) When a sudden electronic communication equipment failure occurs.
a-3) When natural disasters or other force majeure factors make our website unable to provide services.
b) CADE will not be liable for compensation for any direct, indirect, derivative property or non-property damage caused by the use of our service.
c) User should back up the text, pictures and other data uploaded by the message. CADE is not responsible for the loss or damage of all or part of the content for any reason.
d) CADE does not assume any guarantee responsibility for the use of our service or the results produced, nor does it guarantee that the software related to our service is free or will be corrected.
e) All your remarks, opinions or behaviours on CADE site only represent you; it does not represent the position of CADE, we do not bear any responsibility. CADE does not guarantee the correctness of the identity claimed by the user.
f) CADE is not responsible to you or anyone for any intimidation, defamation, obscenity or all other illegal acts that occur in or through our service.
g) For any goods or services that you purchase or obtain through our service, or published, sold or delivered through CADE’s sponsors or advertisers, you shall bear the possible risks yourself or negotiate with the goods or service providers in accordance with the law. CADE does not bear any responsibility.

9.Changes to Terms or Services
a) Once you start to use our service, it means that you have fully read, understood and agreed to accept the content of these terms. CADE has the right to modify and change them at any time, and will not notify members individually. It is recommended that you review these terms of service regularly. If you continue to use the service after the modification and change of these terms, it is deemed that you have read, understood and agreed to accept the modification or change of these terms.
b) CADE has the right to temporarily or permanently modify or suspend the provision of our service to you, and you shall not ask for any compensation for this.

10. Intellectual property
a) The software, programs and all content on CADE website, including but not limited to works, pictures, files, information, data, website structure, web design, are owned by CADE or other right holders in accordance with the law, including but it is not limited to trademark rights, patent rights, copyrights, trade secrets and know-how, etc.
b) None can use, modify, reproduce, publicly broadcast, modify, distribute, distribute, publicly publish, perform restoration engineering, decomplication or reverse assembly. If you want to quote or reprint the aforementioned software, programs or website content, you must obtain the prior written consent of CADE or other rights holders in accordance with the law. In the event of a violation, you shall be liable for damages to CADE or other rights holders (including but not limited to litigation costs and attorney fees, etc.).

11. Other regulations
a) The contents of the user treaty and exemption also form part of these terms of service.
b) All disputes arising from the use of our service shall be the first instance court of jurisdiction in Taipei District Court, Taiwan.
c) If your use of our service causes CADE to be investigated or prosecuted by a third party or administrative agency, we have the right to request damages from you, including but not limited to litigation costs, attorney fees and goodwill Loss etc.
d) For the foreseeable maintenance of software and hardware, if the system may be interrupted or suspended, CADE will notify the member in an appropriate manner before the situation occurs.

12. Termination of membership and CADE’s obligation
a) CADE has the right to change the content of various services or terminate any member’s account service.
b) If you decide to terminate the membership of CADE, you can directly notify us by e-mail or cancel by other mechanism provided by us. We will cancel your membership information as soon as possible.
c) Members have the obligation to notify the cancellation of our membership, and from the date of suspension of CADE's membership (subject to the date of CADE's e-mail sending), all the benefits and rights provided by this service will be forfeited.
d) In order to avoid the occurrence of malicious incidents that would cause the loss of the members' entitlements, when the member informs us to stop the membership, the company will once again confirm the correctness by email, and then cancel the membership.
